Board of Directors

Eduardo de Britto Pereira Azevedo is a partner responsible for the Private Equity division at Opportunity, where he has worked since 2011. He serves on the board of directors of Santos Brasil, PetroRecôncavo, CVC Brasil Operadora e Agência de Viagens S.A., Tauá Brasil, and AgroSB, where he also served as CEO from 2014 to 2016. Previously, he worked in the Corporate Banking division at Banco BBM from 2001 to 2009. He holds a degree in Economics from the Pontifical Catholic University of Rio de Janeiro (PUC-Rio) and an MBA from the MIT Sloan School of Management. He has been a member of the Company's Board of Directors since 2016, became Chairman of the Board in 2025, and has been a member of the People and ESG Committee since 2021.

Carlos Marcio Ferreira is an executive with more than 26 years of leadership experience, with a focus over the past 17 years in the electric power sector. He began his career in the pulp and paper sector with International Paper, where he reached the position of CFO after 27 years with the company. Carlos later transitioned into the energy sector, becoming COO for two years and CEO for five years at Elektro, a multinational electric power distribution company. He also served for two years as COO at CPFL, the largest private Brazilian electricity company, responsible for distribution, generation, commercialization, and value-added services. In 2013, Carlos joined Energisa and led the integration program with Grupo Rede, a large Brazilian power distribution company acquired in 2014, for two years. He then became COO of Grupo Energisa, the fifth-largest private electricity company in Brazil, responsible for all of the group's operations across 13 distributors, and actively participated in the company's Re-IPO in June 2016. In June 2017, he became Chairman of the Board of Directors of ENEVA S.A., actively supporting the company by guiding executive management in strategy implementation. In 2019, he joined the Board of Directors of Light S.A, an electricity generation, distribution, and commercialization company.

He became Vice Chairman of the Board of Directors in 2025. Additionally, he has been a member of the People and ESG Committee and Chair of the Audit Committee of the Company since 2021. In 2023, he joined the Board of Directors of Eucatex S.A., a company in the furniture and construction materials industry.

Mr. Carlos Marcio Ferreira is considered an independent board member according to the requirements set forth in the Novo Mercado Regulations.

Mr. Whyte is President, CEO, and Director of PetroSantander Inc., which owns and operates oil and gas producing assets in the United States, Romania, Colombia, and Brazil since 1995. Mr. Whyte was also a director at Approach Resources Inc., a U.S. publicly traded oil and gas company, as well as Winstar Resources Ltd. and Compass Petroleum Ltd., both Canadian public oil and gas companies. Mr. Whyte has more than 30 years of experience in various operational, executive, and financial roles, including as Executive Director and Chief Financial Officer in E&P and energy businesses. Mr. Whyte holds a B.A. from the University of Pittsburgh. He has been a member of the Company's Board of Directors since 2000 and a member of the Production Committee and Finance Committee since 2021.

Holds a degree in Civil Engineering from the Federal University of Bahia - UFBA. He is Managing Partner, Director, and Technical Officer of Perbrás - Empresa Brasileira de Perfurações Ltda., a company specialized in onshore production rig operations and various services related to oil and gas field operations, and one of the founding shareholders of the Company, currently holding an equity stake of over 5%. Among other roles, he served as a board member of Brasil Telecom S.A., a publicly traded company engaged in telecommunications services, and Starfish Oil & Gás S.A., an oil and gas exploration and production company. He has served as Chair of the Production Committee since 2021.

Born on July 19, 1973, Ms. Camille Loyo Faria is currently Chief Financial and Investor Relations Officer at Americanas S.A. Previously, she served as Chief Financial and Investor Relations Officer at Tim S.A. and Oi, Managing Director responsible for the Energy, Technology/Media/Telecom, and Industries sectors at Bank of America Merrill Lynch, and Managing Director responsible for Energy, Technology/Media/Telecom at both Bradesco BBI and Morgan Stanley. Camille also has extensive executive experience in the telecommunications and infrastructure sectors, having held positions such as CEO and IRO of Multiner, CFO of Terna Participações, and Strategy Leader at Embratel and the Telecom Italia group in Brazil and Latin America.

She has been a member of the Company's Board of Directors and Chair of the Finance Committee since 2021.

Camille holds a degree in Chemical Engineering from PUC-RJ, an MBA in Finance from Ibmec-RJ, and a master's degree in Production Engineering with an emphasis on finance from PUC-RJ.

Philip is an experienced public company executive and investment manager who has served as President and CEO in the global energy and pharmaceutical industries. A lawyer with expertise in M&A and securities, Philip has focused since the 1990s on helping to found (or restructure), finance, operate, and monetize both private and public companies. Since 2015, Philip has served as President and CEO of ERI Group LLC, a company focused on U.S. and international projects in energy, renewable energy, infrastructure, technology, media, and finance. He has been a member of the Board of Directors, a member of the Finance Committee, and a member of the People and ESG Committee since 2021, becoming Chair of the People and ESG Committee in 2023.

Holds a degree in Civil Engineering from UFRJ, with specialization in Petroleum Engineering and additional education from institutions such as the University of Alberta, Columbia University, INSEAD, London Business School, and IBGC. He worked for 34 years at Petrobras, where he held leadership positions including General Manager of Operations in the Campos Basin, Director of Operations in the Gulf of Mexico, and Executive Manager for Pre-Salt Development. He was CEO of Prumo Logística, Porto do Açu, and Dome Integrated Services, as well as CTO of GranEnergia. He has been a member of the Company's Board of Directors and a member of the Production Committee since 2025.

Holds a degree in Business Administration from UNIFACS - Bahia and an Executive MBA from Fundação Dom Cabral. He is a Director at Perbrás - Empresa Brasileira de Perfurações Ltda., a company specialized in onshore production rig operations and various services related to oil and gas field operations, where he has worked since 2007. From 2005 to 2007, he interned and later worked as a manager at FAVAB - Fábrica de Vaselina da Bahia - a company that manufactures and distributes various types of petroleum jelly and paraffin products throughout Brazil. He has been an independent alternate member of the Company's Board of Directors since 2011.

Holds a degree in Business Administration from IBMEC-RJ and an MBA from COPPEAD/UFRJ. He joined the Private Equity team at Opportunity in 2020, where he works on the analysis of new investments and the management of portfolio companies. Before joining Opportunity, he was Vice President at Brookfield Financial Services in Brazil, the advisory arm of the Canadian group Brookfield for institutional investors in the infrastructure and real estate sectors and he was previously part of the Banco Brasil Plural team, where he served as the Investment Banker responsible for M&A and capital markets transactions in the real estate segment. He has been an alternate member of the Company's Board of Directors since 2020 and a member of the Production Committee and Finance Committee since 2021.

Holds a Law degree from the Catholic University of Salvador - UCSAL and an MBA from Fundação Getúlio Vargas - FGV São Paulo, and is a licensed attorney with the OAB/BA under registration no. 33-747. He began his career at Katoen Natie do Brasil Ltda., a multinational logistics company, where he worked as a lawyer from 2004 to 2009. He later served as Legal Counsel in the Business Legal Department at Construtora OAS Ltda., advising the (i) Oil and Gas; (ii) Energy; and (iii) Bahia/Sergipe/Alagoas Regional Directorates from 2009 to 2001. He joined the Company as Legal Counsel in 2011. He currently serves as the Company's General Legal Counsel and has been an independent alternate member of the Board of Directors since 2014.

Mr. Caio is currently the Chief Country Officer of Nomura Securities Brazil and Head of Latam Investment Banking. He is an executive with over 20 years of experience in Investment Banking, having worked at global institutions such as UBS, Deutsche Bank, and ING, and executed more than 70 transactions including mergers and acquisitions, IPOs, and debt issuance in both local and international markets. His track record includes numerous transactions in the oil and gas and infrastructure sectors in Brazil and abroad. Additionally, Mr. Caio was an auditor and consultant at Arthur Andersen and has experience in family-owned businesses. Mr. Caio holds a bachelor's degree in Business Administration from Unifacs and an MBA from the Darden Graduate School of Business at the University of Virginia. He has been an independent alternate member of the Company's Board of Directors since 2021.
